Terms of Service

1. Agreement and Scope

Goatfied is operated by AIARCO Inc. ("AIARCO", "Goatfied", "we", "our", "us"). By creating an account, accessing our applications, integrating our APIs, or using any hosted inference path, you agree to these Terms and our Privacy Policy.

If you are using Goatfied on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes both the individual user and the legal entity.

2. Eligibility and Account Security

• You must be legally capable of entering a binding contract.
• You must provide accurate registration and billing information and keep it current.
• You are responsible for maintaining the confidentiality of your account credentials and API keys.
• You must promptly notify us at security@goatfied.com if you suspect unauthorized use.

3. License Grant

Subject to these Terms and payment of applicable fees, we grant you a limited, revocable, non-exclusive, non-transferable license to use Goatfied during your subscription term.

This license does not include rights to resell, sublicense, reverse engineer protected components, or use Goatfied branding without prior written permission.

4. Your Content and Ownership

You retain all right, title, and interest in your repositories, prompts, context files, outputs, and metadata that originates from your use ("Customer Content").

• We do not claim ownership of your code or business logic.
• You grant us only the rights necessary to deliver the service, enforce security controls, and satisfy legal obligations.
• You are responsible for ensuring you have rights to all data you submit to Goatfied.

5. Acceptable Use and Restrictions

You may not use Goatfied to violate law, third-party rights, or safety standards. Prohibited conduct includes:

• Malware creation, phishing, credential theft, or exploit delivery.
• Unauthorized access, scanning, or interference with systems.
• Deliberate generation of harmful, deceptive, or abusive automated content in violation of applicable policy.
• Attempts to bypass product safeguards, rate limits, or account controls.

We may investigate abuse and suspend or terminate access where misuse is reasonably suspected.

6. AI Outputs and User Responsibility

AI-generated output may contain inaccuracies, vulnerabilities, hallucinations, license-sensitive fragments, or non-compiling code. You remain solely responsible for review, testing, legal validation, and production decisions.

• Always run your own tests and security checks before deployment.
• Do not treat AI output as legal, compliance, medical, financial, or safety-critical advice.

7. Third-Party Model Providers and Bring-Your-Own-Key

Goatfied may route requests to third-party providers (for example, OpenAI, Anthropic, xAI, and routing services) based on your selected model mode and account configuration.

• Provider-specific terms may apply when your traffic is sent to those providers.
• If you choose Bring-Your-Own-Key, you are responsible for key management, usage costs, and provider compliance.
• We are not responsible for outages, policy changes, or pricing updates imposed by third-party providers.

8. Fees, Billing, Taxes, and Renewals

• Subscriptions renew automatically by billing cycle unless canceled.
• Fees are billed in advance and are generally non-refundable except where required by law or stated in a written plan policy.
• You are responsible for all applicable taxes, duties, and government charges other than taxes based on AIARCO net income.

8.1 Pricing Changes

We reserve the right to modify pricing, plan inclusions, usage limits, and features at any time. For paid subscribers, we will provide at least 30 days’ notice of material pricing increases via email to the address associated with your account. Your continued use of the Service after the effective date constitutes acceptance of the new terms. If you do not agree, you may cancel your subscription before the change takes effect.

8.2 Third-Party Model Cost Passthrough

If third-party model providers (such as Anthropic, OpenAI, or Google) increase their API rates, we reserve the right to adjust our per-token rates accordingly with 14 days’ notice posted on our pricing page.

9. Suspension and Termination

We may suspend or terminate access if: (a) fees are overdue, (b) you materially breach these Terms, (c) we must do so to comply with law, or (d) your use creates security or service integrity risk.

You may terminate at any time by canceling your plan. Termination does not relieve payment obligations already incurred.

10. Confidentiality

Each party may receive confidential information from the other. Each party agrees to use reasonable measures to protect confidential information and only use it for performing rights and obligations under these Terms.

11. Intellectual Property

Goatfied software, design, trademarks, and service marks are owned by AIARCO or its licensors. Except for the limited license in Section 3, no rights are transferred to you.

12. Service Changes and Availability

We may modify features, model availability, integrations, limits, and plans over time. We do not guarantee uninterrupted or error-free operation, though we use commercially reasonable efforts to maintain reliability.

13. Warranties and Disclaimer

To the maximum extent permitted by law, Goatfied is provided "as is" and "as available" without warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted availability.

14. Limitation of Liability

To the maximum extent permitted by law, AIARCO and its affiliates are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, revenue, data, or goodwill.

Our aggregate liability for all claims relating to Goatfied will not exceed the amounts paid by you for the affected service during the twelve (12) months preceding the claim.

15. Indemnification

You agree to defend, indemnify, and hold harmless AIARCO and its personnel from claims, damages, liabilities, and costs arising from your misuse of the service, breach of these Terms, or violation of law or third-party rights.

16. Export and Sanctions Compliance

You represent that you are not located in, under the control of, or a national/resident of any jurisdiction subject to applicable embargoes, and you will not use Goatfied in violation of export control or sanctions laws.

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. Venue for disputes will be in courts located in Delaware, unless otherwise required by applicable law.

18. Changes to These Terms

We may update these Terms from time to time. Material changes become effective after posting updated terms and updating the effective date. Continued use after the effective date constitutes acceptance.

If any provision of these Terms is found unenforceable, the remainder remains in full force and effect.
